These Terms & Conditions (“Terms”) govern all remodeling and construction services (“Work”) performed by Okay Construction LLC (“Contractor”) for its clients (“Owner”). By accepting a quote, estimate, or proposal from Contractor, Owner agrees to be bound by these Terms.
1. Description of Work
Contractor shall furnish all material, labor, equipment, tools, and supervision necessary to complete the Work as described in the applicable written estimate or proposal (the “Estimate”). The Estimate forms part of these Terms and defines the specific scope of Work.
2. Contract Price and Payments

The Owner agrees to compensate Contractor for the Work in the amount specified in the Estimate, subject to increases or decreases for agreed-upon changes.

Payment Schedule (standard): - 
Deposit: 20% of the contract price is due prior to commencement of Work. 
- 
Progress Payment: 50% is due at the project midpoint, after Contractor notifies Owner of progress. 
- 
Final Payment: The remaining 30% is due upon Substantial Completion, following completion of any Punch List items. 
 
- 
“Substantial Completion” means the stage when the Owner has full and unrestricted use of the property for its intended purpose, with only minor incidental work or corrections remaining.
Payments not received within the agreed timeframe may be subject to late fees or work suspension.
3. Timeline
Contractor and Owner will mutually agree on a project start date after acceptance of the Estimate. Contractor will use reasonable efforts to achieve Substantial Completion within the estimated timeframe provided, subject to extensions as described in Section 6. Any timeline provided in the Estimate is approximate and not a guaranteed completion date.
4. Changes to the Work
All changes to the scope of Work (“Change Orders”) must be agreed in writing. Contractor will provide a written estimate of additional cost and/or time before proceeding. No verbal changes will be binding.
5. Materials and Labor
Unless otherwise specified, Contractor will provide and pay for all labor, equipment, tools, and standard materials required. All materials will be of good quality and new unless otherwise agreed. Substitutions require Owner’s prior approval.
6. Delays and Extensions of Time
Contractor is not liable for delays caused by weather, labor disputes, supply shortages, unforeseen site conditions, or other events beyond its reasonable control. In such cases, Contractor is entitled to a reasonable extension of the completion schedule.
7. Permits and Approvals
Unless otherwise specified in the Estimate, Owner is responsible for obtaining necessary approvals, permits, and inspections. If additional permits, drawings, or fees are required after Work has begun, associated costs will be billed separately.
8. Miscellaneous

These Terms and the Estimate represent the entire agreement between Owner and Contractor. 
- 
Amendments must be in writing and signed by both parties. 
- 
Neither party may assign this Agreement without written consent of the other. 
- 
This Agreement shall be governed by and construed under the laws of the State of Washington.
